1. Introduction
These Terms of Use govern your access to and use of the Shotly platform, including all features, tools, content and services made available at shotly.io and within the Shotly application (collectively the "Platform"), operated by Shotly Ltd, a company registered in England and Wales under company number 16974198 ("Shotly", "we", "us", "our").
By creating an account or using the Platform in any way you agree to be bound by these Terms of Use. If you do not agree to these terms you must not use the Platform.
2. Definitions
In these Terms of Use the following definitions apply:
"Account" means the account you create to access and use the Platform.
"Content" means any scripts, budgets, shot lists, call sheets, schedules, mood boards, storyboards, contacts, locations, files, documents or any other material you create, upload or store within the Platform.
"Editor" means a user invited to a project with the ability to create and edit content within that project.
"Free Plan" means the no cost tier of the Platform with limited features as described on our pricing page.
"Indie Plan" means the paid individual tier of the Platform as described on our pricing page.
"Pro Plan" means the paid professional tier of the Platform as described on our pricing page.
"Studio Plan" means the paid team tier of the Platform as described on our pricing page.
"Seat" means a single licensed user position within a Studio Plan subscription.
"Subscription" means your paid or free plan giving you access to the Platform.
"Viewer" means a user invited to a project with view only access and no ability to edit content.
"You" or "User" means any individual or entity accessing or using the Platform.
3. Eligibility
3.1 Minimum age You must be at least 16 years of age to create an account and use the Platform. By creating an account you confirm that you meet this requirement.
3.2 Partner programme To participate in the Shotly Partner Programme you must be at least 18 years of age. See our Affiliate and Partner Programme Terms for full details.
3.3 Business users If you are using the Platform on behalf of a company or organisation you confirm that you have the authority to bind that entity to these Terms of Use.
4. Account registration
4.1 Creating an account To access the Platform you must register for an account using a valid email address and password. You must provide accurate and complete information during registration and keep your account details up to date.
4.2 Account security You are responsible for maintaining the confidentiality of your account credentials. You must not share your account login details with any other person. If you believe your account has been compromised you must notify us immediately at support@shotly.io.
4.3 Account sharing Account sharing is strictly prohibited. Each account is licensed to a single named individual. Sharing your login credentials with others — including colleagues, collaborators or clients — is a violation of these Terms of Use and may result in suspension or termination of your account.
4.4 Verification Upon registration you will receive a six digit verification code to your email address. You must enter this code to activate your account.
5. Subscriptions and plans
5.1 Available plans Shotly offers the following plans, the features and pricing of which are described in full on our pricing page at shotly.io/pricing:

Indie Plan
Pro Plan
Studio Plan (seat based)
5.2 Billing Paid subscriptions are billed on a monthly or annual basis depending on the option you select at the time of purchase. All payments are processed securely through our third party payment provider Stripe. By subscribing you authorise Shotly to charge your payment method on a recurring basis until you cancel.
5.3 Auto renewal All subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You will not receive a separate reminder before renewal.
5.4 Upgrades You may upgrade your plan at any time. Upgraded features and seats are made available immediately upon payment. The upgraded amount is charged immediately upon confirmation.
5.5 Downgrades You may downgrade your plan at any time. Upon downgrading you will lose access to features not included in your new plan immediately. You will not retain access until the end of your current billing period when downgrading. If your current usage exceeds the limits of your new plan — including the number of users — you will have 24 hours to bring your account within the limits of your new plan. If you do not do so within this period Shotly reserves the right to make the necessary adjustments automatically.
5.6 Cancellation You may cancel your subscription at any time from your billing page. Upon cancellation you will retain access to your current plan until the end of your current billing period. After this your account will revert to the Free Plan.
5.7 Failed payments If a payment fails your account will immediately revert to the Free Plan. Access to features not included in the Free Plan will be suspended until a successful payment is made and your subscription is reinstated.
5.8 Refunds Refunds are considered on a case by case basis at the sole discretion of Shotly. To request a refund contact us at support@shotly.io. We are not obligated to provide refunds except where required by applicable law.
5.9 Annual plans Annual subscriptions are charged upfront for a full twelve month period. Annual plan subscribers receive two months of access at no additional charge, equivalent to ten months billed for twelve months of access.
6. Studio plan and seat licensing
6.1 Seats The Studio Plan is licensed on a per seat basis. Each seat represents one named user with Editor level access to the Platform. The number of seats available under each Studio Plan tier is set out on our pricing page.
6.2 Viewers Viewers may be added to projects at no additional cost and do not occupy a seat. Viewers have view only access and cannot create or edit content within the Platform.
6.3 Seat management The account owner is responsible for managing seats and ensuring the number of active users does not exceed the number of seats on their plan. If a downgrade results in the number of active users exceeding the available seats the account owner has 24 hours to remove the excess users. If this is not done within 24 hours Shotly reserves the right to remove users automatically.
7. Ownership of content
7.1 Your content is yours You retain full ownership of all Content you create, upload or store within the Platform. Shotly claims no ownership rights over your scripts, budgets, shot lists, call sheets, schedules, mood boards, storyboards, contacts, locations, files or any other material you produce using the Platform.
7.2 Licence to operate the service By uploading or creating Content within the Platform you grant Shotly a limited, non-exclusive, royalty free licence to store, process and display your Content solely for the purpose of providing the Platform to you. This licence does not extend to any other use.
7.3 AI and your content Shotly uses AI features across the Platform. Your Content is never used to train AI models. AI features operate exclusively within your individual project and no information from your project is shared with other users or third parties.
8. Acceptable use
8.1 Permitted use You may use the Platform only for lawful purposes and in accordance with these Terms of Use. You agree to use the Platform solely in connection with film, video and creative production planning and related professional activities.
8.2 Prohibited conduct You must not:
Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
Upload, store or share any content that is defamatory, obscene, offensive, hateful or otherwise objectionable
Attempt to gain unauthorised access to any part of the Platform or any other user's account
Use the Platform to infringe the intellectual property rights of any third party
Share your account credentials with any other person
Use the Platform to transmit unsolicited communications or spam
Attempt to reverse engineer, decompile or otherwise extract the source code of the Platform
Use automated tools, bots or scripts to access or interact with the Platform without our prior written consent
Misuse or abuse any AI feature of the Platform
8.3 Violations
First violation: written warning issued to the email address associated with your account
Repeat violation: suspension or permanent termination of your account at Shotly's discretion
Shotly reserves the right to investigate any suspected violation and to take appropriate action including reporting to relevant authorities where required.
9. Confidentiality
9.1 Your production data Shotly recognises that your Content may include commercially sensitive, confidential or legally protected material including scripts under option, unannounced productions and material covered by non-disclosure agreements. Shotly will not access, share or disclose your Content except as set out in these Terms of Use and our Privacy Policy.
9.2 Support access In limited circumstances Shotly staff may access your Content solely for the purpose of providing technical support where you have explicitly requested assistance. Such access is strictly limited to resolving your support request.
9.3 AI confidentiality All AI features within the Platform operate exclusively within your individual project. No Content processed by AI features is shared with other users, used to train AI models or disclosed to third parties.
10. Google Workspace integration
10.1 Optional integration The Google Workspace integration is entirely optional. You are under no obligation to connect your Google account to the Platform.
10.2 Permissions When you connect your Google account you will be asked to grant specific permissions. You control which permissions you grant and you may revoke access at any time from your account settings.
10.3 Data handling Data accessed through the Google Workspace integration is used solely to provide the integration features within the Platform. It is not shared with third parties, used for advertising or used to train AI models.
10.4 Disconnecting You may disconnect your Google Workspace integration at any time from your integrations settings. Upon disconnection Shotly's access to your Google account will be revoked immediately. Shotly may delete previously synced Google Workspace data following disconnection, subject to operational, legal, backup and security requirements.
10.5 Availability Google Workspace integration is available on Pro and Studio plans only.
11. Intellectual property
11.1 Platform ownership The Platform, including its design, features, code, branding and all content produced by Shotly, is the intellectual property of Shotly Ltd and is protected by applicable intellectual property laws. Nothing in these Terms of Use transfers any ownership of the Platform or its components to you.
11.2 Feedback If you provide feedback, suggestions or ideas about the Platform you grant Shotly a perpetual, irrevocable, royalty free licence to use that feedback for any purpose without obligation to you.
12. AI features and disclaimer
12.1 AI as an assistant Shotly's AI features are designed to assist you with production planning tasks. They are tools to support your work and not replacements for professional judgment, creative decision making or legal advice.
12.2 AI output Shotly does not warrant the accuracy, completeness or suitability of any output generated by AI features within the Platform. You are solely responsible for reviewing, verifying and acting on any AI generated content before using it in your production.
12.3 No training on your data Your Content is never used to train AI models. All AI features operate exclusively within your individual project.
13. Limitation of liability
13.1 No warranties The Platform is provided on an "as is" and "as available" basis. Shotly makes no warranties, express or implied, regarding the Platform including its fitness for a particular purpose, uninterrupted availability or freedom from errors.
13.2 Liability cap To the maximum extent permitted by applicable law Shotly's total liability to you for any claim arising out of or in connection with these Terms of Use or your use of the Platform shall not exceed the total amount paid by you to Shotly in the twelve months preceding the claim.
13.3 Excluded losses Shotly shall not be liable for any indirect, incidental, special, consequential or punitive losses including loss of profits, loss of data, loss of production or reputational damage, even if advised of the possibility of such losses.
13.4 Consumer rights Nothing in these Terms of Use excludes or limits any liability that cannot be excluded or limited under applicable law including the Consumer Rights Act 2015 where applicable.
14. Termination
14.1 By you You may delete your account at any time from your account settings. Upon deletion your account and all associated Content will be permanently deleted within a few hours. This action is irreversible and all data will be lost permanently.
14.2 By Shotly Shotly reserves the right to suspend or terminate your account at any time if you violate these Terms of Use, engage in fraudulent activity or for any other reason at Shotly's reasonable discretion. Where possible Shotly will provide notice before taking such action.
14.3 Effect of termination Upon termination of your account for any reason your right to access the Platform ceases immediately. Shotly is not liable for any loss of Content resulting from account termination.
15. Changes to these terms
Shotly reserves the right to update these Terms of Use at any time. We will notify you of material changes by email to the address associated with your account or by a prominent notice within the Platform. Your continued use of the Platform following notification of changes constitutes your acceptance of the updated terms.
16. Governing law and disputes
These Terms of Use are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms of Use shall be subject to the exclusive jurisdiction of the courts of England and Wales.
